Web Vizual SIA
Terms of Service
Effective September 6, 2026 · Version 2026-09-06.3
We rebuild an existing sales and marketing website of up to 24 pages for USD $275 for the first year, including setup and managed hosting, then USD $140 per year on renewal. Flaria’s team inspects every result. We include three correction rounds before approval, and request payment only after you approve it. The monthly change allowance starts in your second subscription month; each additional standard change costs $7.95. Flaria is a managed service for U.S. businesses. Source files and transfers to another host are not included.
1. Who we are
These Terms are an agreement between you and Sabiedrība ar ierobežotu atbildību “Web Vizual” (“Web Vizual,” “we,” “us,” or “our”), a Latvian limited liability company with registration number 40203462329 and registered address “Viesturi 2”–1, Rendas pagasts, Kuldīgas novads, LV-3319, Latvia. You can contact us at [email protected].
2. The service and customer eligibility
Flaria serves businesses established in the United States, acting for business purposes. You confirm that you are authorized to act for the business. We may request business identity, address, and tax-status information. Applications from outside the United States may be declined; we may approve an exception in writing before accepting the project, subject to any mandatory law that applies. Access to a preview does not by itself approve an exception.
The standard service rebuilds an existing public business website with no more than 24 public pages. It includes public-source research, information architecture, marketing copy, visual direction, responsive implementation, image selection, a lead form, technical quality checks, SEO migration artifacts, domain connection, Analytics and Search Console integration, and review by Flaria’s team. We target an initial AI-built preview within 10 minutes after receiving a usable website and intake. This is an estimate, not a deadline for a reviewed or published website. Review, corrections, required access, migrations, and separately agreed work affect the full delivery timeline.
The standard service is for business presentation, lead generation, sales, and marketing. Online stores, marketplaces, payment processing, customer accounts, authenticated portals, SaaS, custom business software, and other application functionality require a separate written scope and price. Sensitive-data workflows are outside the standard service.
3. Your submission and instructions
You must provide a public website you are authorized to modernize, a valid lead-recipient email, and accurate instructions. You authorize us and our service providers to access public pages and use submitted content for research and production of your project. You remain responsible for confirming business facts, offers, prices, claims, licenses, testimonials, and regulated information before publication.
4. AI, client confirmation, and review by Flaria’s team
Flaria AI helps research, plan, draft, and build the website. AI output can contain errors or omissions. Every website is reviewed by Flaria’s team, who may make manual corrections required for quality, consistency, responsiveness, and technical readiness. On every project, you must also confirm business facts, offers, claims, prices, licenses, and regulated information and request needed corrections before publication.
5. Price, payment, and annual renewal
The initial fee is USD $275 and includes the website rebuild, setup, and the first 12 months of managed hosting. Each subsequent 12-month renewal costs USD $140. These are the standard fees; separately agreed extra features or work are charged in addition. Payment is due only after you explicitly approve the completed result. Your initial 12-month subscription starts when we receive payment, not when you submit the website or approve a preview.
We issue a new renewal invoice 14 calendar days before the current annual term ends. Its payment due date is the end of that term. There is no automatic card charge. An early renewal payment extends service from the end of the current paid term, so you do not lose the days already paid for. If payment is received after the paid term has ended, the new annual term starts when that payment is received.
You can choose not to renew simply by not paying the renewal invoice. If it remains unpaid 14 calendar days after its due date, the website is blocked until payment is received. We restore the website after confirming payment. Non-payment of a renewal invoice does not cancel other separately approved charges already incurred.
For a verified U.S. business receiving this service at its U.S. establishment, Latvian/EU VAT is not charged under the general business-to-business place-of-supply rule (Latvian VAT Law, Section 19(1)). You must provide accurate business and location information. A separately approved non-U.S. exception is assessed under the tax rules that apply to that customer. This statement does not waive any other tax that must legally be collected; any such charge will be disclosed before payment.
Requests that expand the standard scope require a separate quote. We agree the scope and extra fee before starting chargeable custom work.
6. Revisions and ongoing website changes
Three correction rounds are included before approval and the first payment. You confirm business facts and request adjustments during those rounds. Reasonable exceptions may be reviewed by Flaria’s team; major new content, a new brand identity, or added functionality may require a separate quote. Approval occurs when you clearly accept the finished website in writing or through the approval flow.
Ongoing changes are separate from those three correction rounds. One standard change is included per subscription month starting in month two. There is no additional free monthly change in the first subscription month. Subscription months are measured from the initial payment date, not calendar months; where a month has no corresponding day, the boundary is the last day of that month. The first-month exclusion applies only when the subscription initially begins, not again on each annual renewal. Unused monthly changes do not roll over.
One standard change means one specific task with up to four individual correction points, such as supplied text, image, or contact-detail updates within the existing website. Unrelated tasks, more than four points, redesigns, new features, and integrations may be split into additional requests or separately quoted. Each additional standard change costs USD $7.95, including standard changes requested in the first subscription month.
We complete a standard change within 24 hours after receiving a clear request and all content, access, and any required approval or payment needed to perform it. If essential information is missing, we ask for it and the 24-hour period starts when the request is complete. This is a 24-hour period, not a business-day estimate. Larger or custom work has a separately agreed delivery time.
7. Hosting and migration
Managed hosting keeps the delivered marketing website online. Standard launch work includes domain connection, mapped 301 redirects, and assistance connecting Analytics and Search Console to client-owned access. Search performance and indexation cannot be guaranteed. Hosting does not include unlimited redesigns, ongoing copywriting, new application features, or continuous content management unless expressly stated in your service summary.
8. Your content, managed hosting, and source files
You retain ownership of the content, trademarks, logos, and materials you provide, and you confirm that you have the rights needed for us to use them. Before payment, drafts and production assets are for review only.
After payment, you may use the completed website through Flaria’s managed hosting for the paid subscription term. The service does not transfer ownership of the website source code, project files, build system, reusable components, or Flaria’s tools. We do not provide source files, a deployable website export, or migration of the Flaria-built website to another host.
You keep ownership of your domain and may use your own content and domain independently of Flaria. Third-party assets remain subject to their licenses. The website-source restriction does not limit any applicable right to access, receive, or delete personal data, including under the Data Processing Addendum.
9. Service infrastructure and optional integrations
Flaria uses contracted infrastructure and content-processing services, public search sources, stock media, fonts, analytics, maps, form delivery, and other services needed to operate the platform. Their availability and terms are outside our direct control. We will not add a paid third-party service without disclosing it when it creates an additional customer cost.
10. Prohibited use
You may not use the service to violate law or third-party rights; distribute malware; deceive users; impersonate another business; publish unlawful, infringing, discriminatory, or harmful material; or collect sensitive information through a website not designed and contractually approved for that purpose.
11. Disclaimers
We provide a professional website service, not legal, tax, medical, financial, accessibility-certification, or regulatory advice. You should obtain qualified review for regulated claims and industry-specific obligations. Except for commitments expressly stated in these Terms, the service is provided to the extent permitted by law without implied warranties.
12. Liability
To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Web Vizual’s aggregate liability arising from the standard service will not exceed the amount you paid for the affected service. These limits do not apply where liability cannot legally be limited.
13. Non-renewal, suspension, and termination
You may stop before approval without owing the initial fee. After approval, you may decline the next renewal by leaving its invoice unpaid. Your current paid term remains available until it ends. The 14-day period after the renewal due date and the subsequent blocking and restoration rules are described in Section 5.
We may suspend or end service for unlawful use, rights infringement, abuse, a security risk, or material breach. Suspension does not transfer the website source files or create a right to move the Flaria-built website to another host. Sections that by their nature survive termination, including already incurred payment obligations, ownership, confidentiality, and liability provisions, continue to apply.
14. Data processing, governing law, and document versions
The Data Processing Addendum forms part of these Terms where we process personal data on your behalf, including through hosted contact forms. The Privacy Policy explains processing for which Web Vizual acts as controller.
These Terms are governed by Latvian law. Courts with jurisdiction in Latvia have jurisdiction unless mandatory law requires otherwise. Nothing in these Terms excludes rights or liabilities that cannot legally be excluded.
We retain the document version and acceptance time associated with each project. New submissions require the current version; updated terms are not silently treated as accepted by existing customers. Where a material change needs to apply to an existing service, we provide it for express agreement before it takes effect. An earlier published version is available in the document archive.
